IMPORTANT — READ CAREFULLY: This End User License Agreement ("Agreement" or "EULA") is a binding legal contract between you (either an individual researcher/editor or an academic journal, publisher, university, or institution, collectively "Licensee") and Ubioquitos Inc. ("Licensor", "Veridelity", "we", or "us") for the Veridelity manuscript, statistical, and image-integrity auditing software ("Software"). By downloading, installing, activating, or using the Software, you agree to be bound by the terms of this EULA.
Subject to the terms of this Agreement and payment of applicable license fees, Ubioquitos Inc. grants Licensee a revocable, non-exclusive, non-transferable, limited license to install and execute the Software solely for Licensee's internal editorial, peer-review, research integrity, or pre-submission auditing operations. Licenses are metered by manuscript credit allocation (1 credit = 1 unique manuscript package audited, with unlimited re-audits of that same manuscript on the same licensed workstation) and are cryptographically bound to the activated device's Hardware Identifier (HWID) or issued as signed offline Ed25519 cryptographic lease tokens.
Licensee shall not, and shall not permit any third party to: (a) sublicense, sell, rent, lease, timeshare, or distribute the Software or license keys to unauthorized third parties; (b) disassemble, decompile, decrypt, reverse-engineer, or attempt to extract the source code, forensic detection heuristics, or cryptographic key-verification routines of the Software; (c) tamper with, spoof, or bypass the local credit ledger, Hardware ID binding, or licensing APIs; or (d) remove or alter any copyright, trademark, or digital signature notices of Ubioquitos Inc. Unauthorized tampering automatically terminates this license and may subject the violator to civil remedies.
The Software provides automated statistical, visual, metadata, and bibliographic screening flags designed to assist human editors, peer reviewers, research integrity officers, and authors. Automated forensic flags do not constitute definitive proof of scientific misconduct, fabrication, falsification, or plagiarism. Licensee expressly acknowledges and agrees that all findings, alerts, and reports generated by the Software must be independently verified by qualified human experts before any editorial rejection, retraction, institutional investigation, or adverse action is taken.
The Software executes manuscript text, tabular statistics, XML track-changes, and pixel-level image forensics locally on Licensee's workstation. If Licensee enables optional external bibliographic or reverse-image lookups (such as Crossref, OpenAlex, PubPeer, Retraction Watch, or Google Lens), only the relevant citation metadata or user-selected image crop is queried against those third-party services according to Licensee's settings.
The Software, including all algorithms, user interfaces, documentation, trademarks, and trade secrets, is and remains the sole and exclusive property of Ubioquitos Inc. This EULA grants a right of use only and conveys no title or ownership interest in the Software.
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, OR NON-INFRINGEMENT. UBIOQUITOS INC. DOES NOT WARRANT THAT THE SOFTWARE WILL DETECT EVERY INSTANCE OF DATA OR IMAGE MANIPULATION OR THAT THE SOFTWARE WILL BE ERROR-FREE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL UBIOQUITOS INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, EDITORIAL DELAYS, REPUTATIONAL HARM, DEFAMATION CLAIMS, OR LOSS OF DATA) ARISING OUT OF OR RELATED TO THE USE OR INABILITY TO USE THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. UBIOQUITOS INC.'S TOTAL CUMULATIVE LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE TOTAL LICENSE FEES ACTUALLY PAID BY LICENSEE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
This EULA is governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles.
Volume manuscript credit packages purchased through veridelity.com are billed in United States Dollars (USD) via Stripe according to the published volume tiers ($15.00 USD/manuscript for 1–99 credits; $12.50 USD/manuscript for 100–999 credits; $10.00 USD/manuscript for 1,000+ credits). Upon successful payment confirmation, a cryptographic license key (VTL-CREDITS-... or airgapped VTL-OFFLINE-...) and software download link are issued immediately.
Complimentary pilot evaluation keys are issued at the discretion of Ubioquitos Inc. for bona fide academic journals, publishers, and research integrity offices and may not be resold or transferred.
Because cryptographic license keys and offline tokens are delivered immediately upon checkout, activated or consumed manuscript credits are non-refundable. If an unactivated license key experiences a technical defect or requires a workstation Hardware ID (HWID) migration due to hardware replacement, please contact [email protected] and our engineering team will reissue or migrate your remaining credit balance promptly.
In accordance with Canada's Anti-Spam Legislation (CASL), when you opt in during checkout or trial registration, you consent to receive transactional license keys, software security updates, and relevant product communications from Veridelity (Ubioquitos Inc.). You may withdraw consent at any time using the one-click unsubscribe link in any non-transactional email or by emailing [email protected].
Veridelity is engineered on a strict local-first privacy architecture. Unpublished manuscripts, author drafts, patient tables (PHI/HIPAA), raw spreadsheets, and high-resolution figures audited inside the Veridelity Desktop Suite are processed locally on your computer. Ubioquitos Inc. does not upload, store, or train AI models on your manuscripts or supplemental files.
VTL-OFFLINE-...) require zero outbound network telemetry.We do not sell, rent, or trade personal or institutional contact information to third parties. All data transmitted between the Software or browser and veridelity.com is encrypted in transit using TLS 1.2/1.3.
